Welcome to Hubmeded (the "Platform"). Hubmeded is a platform created by healthcare professionals for healthcare professionals where the best knowledge and practices can be shared among professionals.

Hubmeded's platform, along with all its contents and products is exclusively owned by HUBMEDED, S.L. ("HME", "Us", "Our") a company incorporated under the laws of Spain, with business number B70710207 and registered office at C/ Chile 10 - 1º, oficina 120 28290 - (Rozas De Madrid, Las) -- Madrid (Spain).

All users (the "Users") or visitors (the "Visitors") of the Website must read and accept these Terms and Conditions (the "T&C") before using the Website. By accessing or using the Website or HME's products or services, it is understood that the User fully understands and accepts the T&C, as well as the privacy policy and the cookies policy.

1. Definitions

The capitalized terms and expressions hereunder have the meaning ascribed to them as follows:

"Affiliate Partners" refers to the members of the HME Affiliate Program.

"Basic Plan" refers to the most basic paid subscription available to the Users, which provides improved access to content types and benefits on the Platform.

"Commissions" refers to the compensations that shall be paid to the Partners upon the sale of Products and Services in accordance with these T&C and the specific terms and conditions that may apply to each of them.

"Content" refers to all multimedia content, Products and Services available on the Platform for free or as part of any of the Subscription Plans.

"Content Creator" refers to the Users who meet the conditions to create and upload multimedia content to the Platform, particularly experts in aesthetic medicine, and decide to enter into a Content Creator relationship with Us in accordance with these T&C.

"Cookies Policy" refers to the HME's policy regarding the use of cookies on the Website and the Platform, accessible here, which forms an integral part of these Terms and Conditions.

"Corporate Plan" refers to the paid subscription plan available for those who are interested in onboarding several users under a common plan.

"Cross-Selling Partner" refers to a User who chooses to enter into a Cross-selling partnership as described in these T&C.

"Dashboard" refers to the unique personal space that Platform hosts for every User and where the Users and the Partners can have access to different features and an overview of their accounts, including but not limited to the products and services created, uploaded, shared or offered by the Partner, the number of purchases of such products and services, the commissions generated, etc.

"Fee" refers to the payment required to access the Services through an activated Account.

"Free Plan" refers to the subscription that requires no payment from the Users and provides limited access to the Content, Products and Services.

"Guidelines" refers to the guidelines that the Partners must follow when creating or uploading Content, Products or Services.

"HME Affiliate Program" refers to the [Affiliate Program](https://hubmeded.getrewardful.com/signup) created by Us.

"HME Intellectual Property" or "HME IP" refers to all intellectual property associated with the Website, including but not limited to trademarks, copyrights, and patents, which are either owned by HME or licensed for use of HME.

"HME Platform" or "Platform" refers to the platform created by HME to store and access the Content, Products and Services, and that can be accessed through the Website.

"License" refers to the license that the Partners grant to HME over the Content, Products and Services created, uploaded, shared or offered by them through the Platform and that are protected by the Partner's Intellectual Property Rights.

"Live Classrooms Events" refers to interactive, real-time educational sessions led by experts in the field.

"Order Form" refers to the email confirmation of the User's subscription to the selected plan.

"Paid Subscription" refers to any of the paid plans offered by HME.

"Partners" refers indistinctly to Content Creators, Cross-Selling Partners and Affiliate Partners.

"Partner's Intellectual Property Rights" refers to all intellectual property associated with the Content, Products and Services created, uploaded, shared or offered by a Partner.

"Premium Plan" refers to an extended subscription plan available to the Users, offering enhanced access to Content and special benefits in connection with the Products and Services.

"Privacy Policy" refers to the HME's policy regarding the protection of personal data, accessible here, which forms an integral part of these Terms and Conditions.

"Product(s) and Service(s)" refers to the products and services offered through the Website and that may belong to HME, to the Partners or to any other Third Party as allowed by these T&C.

"Recurring Subscription" refers to a payment model in which the User authorizes automatic, periodic charging of the Subscription Fee (monthly or yearly), as chosen by the User, until the subscription is canceled by either the User or by HME.

"Renewal Date" refers to the date on which Paid Subscriptions automatically renew, on an annual or monthly basis, depending on the Subscription and as specified in the Order Form.

"Subscription Plan" or "Plan" refers to any plan chosen by the User.

"Subscription Fee" refers to the payment(s) needed in order to have access to any of the Plans.

"Third Party" refers to any person that is not a User, a Content Creator or a Cross-Selling Partner.

"User(s)" refers to any natural person or a legal entity engaged in a professional activity in the health sector, a health profession, or a student in the healthcare field who fulfill the requirements to register with the Platform and create an User Account.

"User Account" refers to the primary means of accessing and using the Content, Products and Services.

"Visitor" refers to any natural person that does not meet the requirements to become an User and who browses the Website.

2. The Platform

HME has created a Platform focused on aesthetic medicine, a space for continuous learning and collaboration for all medical professionals seeking to stay updated, share insights, and improve in the field of aesthetic medicine.

To maintain the highest standards in terms of security and quality, the access to the Platform requires undergoing a registration process where the Users must provide certain information and documents.

The Platform is intended to be accessible 24 hours a day, 365 days a year. However, temporary interruptions or reductions in availability may occur due to maintenance, upgrades, optimization, third-party service interruptions, or other unforeseen circumstances, without prior notice. HME is committed to restoring the Platform's availability as quickly as possible. Nevertheless, HME shall not be liable for any such interruptions, nor shall such interruptions entitle Users to compensation.

HME reserves the right, in its sole discretion, to change, modify, or discontinue any aspect or feature of the Platform in whole or in part.

3. Visitors

Access to HME Products, whether paid or free, is exclusively reserved for doctors, nurses, aesthetic medicine and beauty clinic professionals, other healthcare professionals, and healthcare students.

Visitors will have limited access to the Website and the Platform.

While accessing the Website, Visitors shall comply at all times with the following obligations:

  • Fully comply with these Terms and Conditions without any restrictions or reservations;
  • Abide by all local regulations that may apply to the Visitor.
  • Respect HME IP and/or third parties' intellectual property rights, including but not limited to copyrights, trademarks, and patents.
  • Use the Website, the Content, and the Products and Services in good faith, refraining from any actions intended to deceive, harm, or exploit HME or any other Visitors or Users.
  • Not to disrupt or attempt to disrupt the proper functioning of the Website or alter its Content, Products or Services.
  • Not to access or use, or try to access or use, the Website, the Content, Products or Services for unlawful purposes.
  • Not to cause any harm to HME's reputation and/or image.
  • Not to directly or indirectly commercialize access to the Website.
  • Not to reuse, operate, reproduce, or represent all or part of the Website, the Platform, the Content, Products or Services without prior written authorization from HME.

4. User Registration and HME Account

HME and the Platform, Content, Products and Services have been designed by healthcare professionals for healthcare professionals. Only healthcare professionals who meet the eligibility requirements outlined below can become Users.

Accordingly, if you do not meet all of these requirements, you will not be permitted to create an HME Account or become a User of HME. If HME determines that an Account has been created in violation of these eligibility rules, HME reserves the right to terminate the Account immediately, without prior notice.

1. Eligibility

In order to become a User, the following requirements need to be met:

1. Be a human over 18 years old or a legal entity duly registered and managed by a human over 18 years old.

2. Be a healthcare registered professional (Doctors, nurses, etc.) or a student enrolled in health-related studies.

3. Provide a valid email address, physical address and phone number.

Any person or legal entity who would be interested in becoming a User must provide the required information and documentation. HME reserves the right to request additional information or documents.

HME reserves the right to verify the User's professional activity, healthcare sector affiliation, and personal data at any time. If HME determines that a User has provided false, inaccurate, or incomplete information, or has otherwise failed to comply with these Terms and Conditions, HME may, at its sole discretion, suspend or terminate the HME Account with prior notice to the User, where feasible. HME also reserves the right to suspend the Account immediately without notice if it detects suspicious or unauthorized activity, pending further investigation.

1. Registration Process

To create an HME Account and become a User, the user can choose between free plan, Basic user and Premium user. All the benefits included in each package are available here: . In the subscription process, you must provide the following information:

  • Full name (first name and surname)
  • A valid email address
  • A business or professional ID, license number or proof of university enrollment (for Students)

HME reserves the right to verify the information provided by the Users during the registration process or at any subsequent time. HME may request additional documents or evidence, as deemed necessary, to confirm the accuracy and authenticity of the information provided. By creating an HME Account, the User agrees to promptly provide all requested documentation and information upon HME's request.

The Users acknowledge and agree that they are fully responsible for the accuracy, completeness, and legality of the information provided during the creation and maintenance of their HME Account. HME shall not be liable to the User or any third party for any errors, omissions, inaccuracies, or misrepresentations in the data submitted by the User, nor for any consequences arising from the User's use of the HME Account. In the event that false or misleading information is provided, HME may, in addition to terminating the Account, take further action as permitted by applicable law.

All personal data collected during the registration process will be handled in accordance with HME's [Privacy Policy](https://www.hubmeded.com/privacy-policy) and applicable data protection regulations.

1. Use of the HME Account

The use of an HME Account requires a login and password, which the User creates during the registration process. The login and password are strictly personal and confidential. The User agrees not to disclose the login and password to any third party, and not to permit any third party to use them.

Any access to or use of the HME Account is presumed to have been performed by the User who registered the HME Account, and such actions are the User's sole responsibility. The User shall be liable for any activity conducted through their HME Account, whether authorized by them or not, unless they promptly notify HME of unauthorized access as outlined below.

In the event of actual or suspected loss or theft of the login and/or password, or if the User suspects unauthorized access or use of their HME Account, the User must immediately update their credentials using the tools provided on the Website and notify HME in writing without delay. Failure to report such incidents promptly may result in the User bearing responsibility for any resulting misuse of the Account.

Only registered Users are authorized to use their HME Account. All Content, Products and Services are reserved exclusively for the authorized Users based on their Subscription plans. The HME Account may not be used for any unlawful purpose or in any manner that violates these Terms and Conditions.

2. Users' obligations

All Users undertake and warrant to:

  • Fully comply with these Terms and Conditions without any restrictions or reservations;
  • Abide by all local regulations that may apply to the User.
  • Respect HME IP and/or third parties' intellectual property rights, including but not limited to copyrights, trademarks, and patents.
  • Use the Website, the Content, and the Products and Services in good faith, refraining from any actions intended to deceive, harm, or exploit HME or other Users.
  • Provide all necessary documents requested by HME to verify their status.
  • Protect their credentials and not share them with any third party.
  • Not to disrupt or attempt to disrupt the proper functioning of the Website or alter its Content, Products or Services.
  • Not to access or use the Website, the Content, Products, or Services for unlawful purposes.
  • Not to cause any harm to HME's reputation and/or image.
  • Not to directly or indirectly commercialize access to the Website.
  • Not to reuse, operate, reproduce, or represent all or part of the Website, the Content, Products or Services without prior written authorization from HME.

In the event of non-compliance with any of these obligations, HME reserves the right to unilaterally refuse or suspend, without prior notification, the User's access to all or part of the Website, its Content, or Products and Services. In such cases, the User shall not be entitled to any refund for amounts paid to HME.

The User acknowledges and agrees that they are solely responsible for their use of the Website, its Content, Products and Services, and shall indemnify and hold HME harmless against any claims, damages, liabilities, or losses arising from such use, including breaches of these obligations. HME is not liable for any consequences resulting from the User's actions, except where required by applicable law.

5. Products and Services

The HME Platform includes a variety of Products and Services related to training in aesthetic medicine. The Products and Services may be accessed freely, may be reserved for any of the different [Subscription Plans](https://www.hubmeded.com/subscription-plans) offered by HME at any time, or may only be available for purchase.

HME reserves the right to modify at any time what Products and Services can be accessed free of charge, which ones are only available under a Subscription Plan and which ones need to be purchased.

HME grants to the Users who access or purchase any Product or Service a limited, non-exclusive, non-transferable license for personal, non-commercial and educational purposes for such Products or Services, in accordance with these T&C and any additional restrictions associated with specific Product or Service.

HME reserves the right, at its sole discretion, to limit or revoke the license to access any free Product or Service available in the Platform at any moment. Paid Products and Services, whether included as part of a Subscription Plan or any other payment scheme, shall remain available, unless otherwise outlined in these T&C or in the terms and conditions that may regulate specific products or services, as long as that Subscription Plan is active and/or until the license indicated in the specific terms and conditions expires. Exceptionally, HME can limit or cancel access to paid Products and Services for security or compliance reasons. Any limitation or restriction on this license shall not give rise to any compensation to the User.

Users cannot reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works, or otherwise transfer or use the Products and Services unless HME provides explicit written permission signed by an authorized HME representative. Any violation of this obligation might result in the cancellation of the User's profile without any right to reimbursement.

6. Subscription Plans

HME offers to the Users different types of Subscription Plans with unique benefits and features. Each Subscription Plan may include unique free Products and Services and/or special discounts to purchase the Products and Services. Unless otherwise expressly indicated, Subscription Plans are individual and cannot be shared between different Users.

Access to the Subscription Plans and to the Products and Services or other benefits included in each Subscription Plan by the User is subject to the payment of the price of each Subscription Plan and the full compliance of the User to these T&C.

HME reserves the right, to modify, update or discontinue any Subscription Plan and/or the Content, Products and Services or other benefits offered by each of them, including their prices, at its sole discretion. Any changes will be communicated to the Users and shall only be implemented for new subscriptions or upon renewal of the existing Subscription Plans.

7. Payments

1. Payment terms

HME shall provide a secure payment system for the Users to subscribe to the Subscription Plan and/or to purchase the Products and Services. Prices may vary depending on the Subscription Plan and/or whether such Subscription Plan is subscribed monthly or annually. HME reserves the right to offer special discounts to all or some Users as it may deem appropriate.

The Products and Services offered by the Partners shall be purchased through the Platform. Under no circumstances shall payments be requested or accepted directly by the owners of such Products and Services, or any third party outside of HME's designated payment system.

Any payments made outside HME Platform shall not be recognized by HME, and access to the Products and Services will not be granted. Attempts to solicit or process payments outside HME's Platform shall be deemed fraudulent and must be [reported](mailto:%20customers@hubmeded.com) immediately Us.

Under no circumstances shall HME be liable for any delays, errors, or losses arising from the payment process, including technical issues with the payment system, except where required by applicable law.

HME reserves the right to suspend or terminate access to the Products and Services without prior notice in the case of payment disputes or suspected fraudulent activity.

2. Subscription Plans

Subscription Plans can be paid monthly or annually. Payments will be charged automatically according to the billing cycle selected by the User. Users are responsible for ensuring that sufficient funds and a valid payment method are available.

HME reserves the right, at its sole discretion, to suspend or terminate access to the Subscription Plan and to any Products and Services included in or purchased by the User if the Subscription Plan cannot be renewed due to insufficient funds, an invalid payment method, or any other payment failure.

HME may modify the pricing of Paid Subscriptions at its sole discretion. HME will notify Users of any price changes in advance via the email associated with their HME Account, including instructions on how to cancel if they do not accept the new price. Price changes for Subscription Plans will take effect at the start of the next subscription period following the date of the change. By continuing to use the Subscription Plan after the price change takes effect, Users accept the new price, as permitted by applicable law. If Users do not agree to the price change, they may cancel their Subscription Plan prior to the effective date of the change. Except as expressly provided in these Terms of Service or where required by law, Subscription Plans payments are nonrefundable.

Should the User decide to upgrade to a higher plan at any time, they shall be required to pay the difference between their current plan and the desired plan in the month the change request is made. If the User requests to downgrade to a lower plan, no refund shall be provided, and the fee will be updated in the month following the request.

Users may cancel their Subscription Plans at any time, the cancellation shall be effective upon the end of the ongoing subscription period.

3. Invoices

Upon purchase of any Product or Service available on the Platform, HME will generate and provide an invoice. All invoices will be generated from the data communicated by the Users when registering on the Platform. HME shall not be liable for any errors or omissions in the invoices if such errors or omissions are originated from the User's registered information. Users remain responsible for checking every invoice.

Users who are students and considered consumers under applicable consumer protection laws, shall receive, unless a different format is specifically requested, a simple receipt in accordance with the relevant applicable regulations.

4. Refunds

Users may request a refund of the price paid for any purchased Products or Services within five (5) days of payment, provided that the Products or Services have not been accessed, viewed, downloaded, or used in any way. Subscription Plans can also be refunded upon request within five (5) days of payment, provided that no Products or Services specifically available for such Subscription Plan have been accessed, viewed, downloaded or used in any way.

Refund requests must be submitted in writing by email. HME reserves the right, at its sole discretion, to verify whether the Products or Services have been accessed, viewed, downloaded, or used by the User. Refund requests will be reviewed within fourteen (14) days. HME may deny any refund request if it determines that the conditions for a refund have not been met.

8. Content Creators

Users can sign up as Content Creators if they meet the specific requirements and agree to the specific terms and conditions applicable to the Content Creators set by HME from time to time.

HME reserves the right, at its sole discretion, to review and approve or reject each Content Creator application based on these requirements. HME may request additional documentation to verify the accuracy of the provided data, and failure to provide such information or the submission of false or misleading data may result in rejection of the application or termination of an approved Content Creator status, as outlined in these T&C.

HME reserves the right to accept or reject any application submitted by the Users if they do not meet, or no longer meet, the criteria required by HME.

The specific terms and conditions applicable to Content Creators, including the technical and thematic requirements, profit sharing scheme, etc., may be changed by HME at its sole discretion at any moment. HME will notify the Content Creators of any changes to these specific terms and conditions by email to the email address indicated by the Users with at least fourteen (14) days prior to the effective date, unless immediate changes are required for legal or operational reasons. Continued participation after the effective date constitutes acceptance of the changes.

If the Content Creator does not accept the modifications, they may cancel their Content Creator status. Existing commitments (e.g., revenue-sharing for uploaded Content, Products and Services) prior to the cancellation will be honored as originally agreed, unless otherwise stipulated.

9. Cross-Selling partnership

The Cross-Selling Partnership enables the Cross-Selling Partner to integrate and sell their products or services within the Platform's ecosystem, increasing visibility and sales opportunities through HME's audience.

All Users may apply to become a Cross-Selling Partner by signing up through their Dashboards.

All products and services uploaded by the Cross-Selling Partner shall comply with the guidelines, regulations and requirements established by HME and available in the Dashboard.

The profits generated by the sales made through the Platform by the Cross-Selling Partner's products and services shall be split between the Cross-Selling Partner and HME following the terms indicated in the Dashboard at any time.

10. Affiliate Program

Users can become Affiliate Partners by signing up for the HME Affiliate Program whose terms and conditions are described in the HME Affiliate Program Terms and Conditions.

11. Compensation scheme

Each time a User purchases Product or Service created by the Content Creator or a Cross-Selling Partner, the respective Partner, and the Affiliate Partner (if the Content was purchased by a User registered through the Affiliated Partner's link) may be entitled to a Commission in accordance with their respective specific terms and conditions.

Partners acknowledge and agree that, as part of the partnership with HME, they may be required to make available for free some Products or Services. Such free content shall not generate any Commissions for the Partners.

Partners may see the Commissions they have generated at any time in their Dashboards.

Only the Products and Services effectively purchased by the Users shall generate a Commission. In the event a User is granted a refund in accordance with the requirements outlined in these T&C, the Partner shall not receive any Commission.

Partners may request a withdrawal of the Commissions at any moment, provided that the Commissions meet the minimum and maximum thresholds set by HME (50% for each party). Upon request for a withdrawal, the Platform shall generate an invoice on behalf of the Partner. The invoices shall be generated based on the information communicated by the Partner and it is the Partner's sole responsibility to verify that the invoice includes the right information and complies with their respective tax regulations applicable to the Partner.

Approved withdrawal requests shall be paid to the Partners via wire transfer, PayPal or any other alternative method of payment available in the Platform. HME, at its sole discretion, shall decide at any time what payment methods are available.

All payments shall be made in Euros (EUR) or U.S. Dollars (USD). HME is not responsible for any foreign currency conversion fees, wire transfer fees, or other processing fees incurred as part of the withdrawal by either the sender or the receiver of the money. If a withdrawal cannot be processed due to invalid banking information, any fees incurred shall be borne by the Partner. HME will notify the Partners in case of failed withdrawals.

HME may modify the payment terms or minimum withdrawal amount at its sole discretion, with prior notice to the Partner of at least fourteen (14) days, unless immediate changes are required for legal or operational reasons. In the event that a Partner does not accept these changes, their Partner status will be terminated and accrued Commission will be paid out in accordance with these terms, unless withheld due to a breach of these Terms and Conditions. HME is not liable for delays, errors, or losses in the payment process, including those caused by third-party payment providers, except where required by applicable law.

12. Partner warranties and obligations

Partners must comply at all times with these T&C and with any specific terms and conditions applicable to them.

  • Professional Content Creation: Partners shall create and deliver high-quality, accurate Content with professionalism, in accordance with HME's content guidelines and these Terms and Conditions. All Content generated by the Partners shall be owned by the Partners or the Partners shall have a license that will allow them to sub-license such Content under the terms described in these T&C.
  • Tax and Legal Compliance: Partners shall be solely responsible for registering with applicable tax authorities, filing tax declarations, and complying with all relevant legal and regulatory requirements in their jurisdiction, indemnifying HME against any liabilities arising from non-compliance.
  • License: By uploading any Content, the Partner grants HME a worldwide, non-exclusive, sublicensable, and transferable license for a period of ten (10) years from the moment the Content was uploaded, shared or offered on the Platform, to use, reproduce, distribute, display, store, modify, commercialize and manage the Content. This license includes the right to sublicense and/or sell the Content to third parties inside or outside the Platform, without limitation, as determined by HME at its sole discretion.

The Partner represents and warrants that (a) they possess the necessary licenses, knowledge and skills to create the Content, (b) they have complied with all legal requirements while creating the Content, and (c) they are solely responsible for the Content, including its accuracy, legality and compliance with the highest standards in the medical and healthcare fields.

The Partner shall indemnify and hold HME harmless against any claims, damages, liabilities, or losses arising from the Content, Products and Services they have created, uploaded, shared or offered through the Platform, including but not limited to intellectual property disputes, inaccuracies, or regulatory violations. HME assumes no liability for such matters.

Failure to comply with these obligations may result in suspension or termination of the partnership. HME reserves the right, at its sole discretion, to interpret or modify these obligations to ensure compliance with applicable laws and the operational integrity of the Platform.

13. Partners' Ownership and Intellectual Property Rights

All Content, Products and Services created, uploaded or offered by a Partner through the Platform, including copyright and any other intellectual property rights, shall remain the Partners' property. No transfer of Intellectual Property Rights shall take place unless specifically agreed by the Partner and HME in writing.

Partners grant HME a worldwide, non-exclusive, sublicensable, and transferable License to use, reproduce, distribute, display, store, modify, commercialize and manage of the Content they create, upload, shared or offer on the Platform for a period of ten (10) years. This license includes the right to sublicense and/or sell the Content to third parties inside or outside the Platform, without any limitations, as determined by HME at its sole discretion, and to decide, at its sole discretion, the format, accessibility, duration of the Content's availability on the Platform.

HME may remove the Content at its sole discretion if it deems the Content unsuitable, outdated, or non-compliant with medical advancements, techniques, or applicable regulations, providing the Partner with at least seven (7) days' prior notice via email or the Platform, unless immediate removal is required for legal or safety reasons.

14. The Forum

The forum has been designed as a space for professionals to exchange ideas and engage in debates.

When using the forum, Users undertake to conduct themselves with respect and courtesy towards each other. Aggressive, disrespectful, or offensive behavior or content will not be tolerated and may result in the temporary suspension or a permanent cancellation of the User's account. Spam, phishing attempts, or any other inappropriate or illegal behaviors may also lead to permanent cancellation of the User's account.

Users acknowledge and accept that the accuracy of content shared by other Users is not guaranteed.

Users are responsible for the messages and content posted on the forum through their accounts, unless they report the loss, theft or hack of their accounts.

15. Suspension or Termination

HME reserves the right to suspend or terminate the User Account and/or its condition as Content Creator, Cross-Selling Partner or Affiliate Partner at any time, at its sole discretion, with or without prior notice, if HME reasonably believes that the User has infringed these T&C or has performed or tried to perform any illegal activity through the Platform, including but not limited to:

  • Breach of Terms: If the User violates any provision of these Terms and Conditions, including but not limited to misusing the Platform, providing false or misleading information during registration, using the Platform with a false identity, or failing to meet payment obligations after HME has made reasonable attempts to notify the User.
  • Inappropriate Behavior: If a User, including Content Creators, Cross-Selling Partners or Affiliate Partners, submits or attempts to submit, upload, sell or commercialize Content, Products or Services that are inaccurate, misleading, offensive, violates medical ethics, infringes intellectual property rights, or contravenes applicable healthcare laws or regulations.
  • Illegal or Harmful Activity: If the User engages in activities that are unlawful, fraudulent, or harmful to the Users, the Platform, HME, or its reputation, such as hacking attempts, distribution of malware, or misuse of medical Content, Product and Services
  • Inactivity: If the HME Account remains inactive for a period of three (3) years from the User's last login, HME may deactivate the Account and archive the User's personal data in accordance with the Privacy Policy and applicable data protection laws.

If HME suspends or terminates an HME Account, HME will attempt to notify the User via the email address associated with their Account, unless immediate action is required to prevent harm, legal liability, or further violation of these Terms and Conditions.

In case of suspensions, Users and Partners may temporarily lose access to all or part of the Platform and/or they ability to participate in the Forum , purchase Products or Services and/or upload or share Content may be limited.

Termination will result in the permanent deletion of the User's Account. In the event that HME decides to terminate a Partner's account, HME shall decide, at its sole discretion, whether to keep available or delete the Partner\'s content. In case HME decides to keep the Content available, the Partner shall have a limited access to their account for the sole purpose of tracking the sales of the Products and Services and to request withdrawals.

If the User believes their User Account was suspended or terminated in error, the User may contact HME through the contact form. HME will review the request and respond within fourteen (14) days, though HME reserves the right to extend this period if necessary. HME's decision following the review shall be final and binding. Under no circumstances shall HME be liable for any losses, damages, or claims arising from the suspension or termination of a User Account.

16. Account Cancellation

Users may request the cancellation of their User Accounts. HME will review and process the cancellation request within seven (7) business days from the date of receipt of the request. Upon approval, the cancellation will take effect at the end of the current billing cycle, unless otherwise specified by HME.

Users subscribed to a Subscription Plan shall not receive any refunds in case of cancellation. Access to the Products and Services associated with the Subscription Plan might not be available upon cancellation approval.

In the event a Partner requests the cancellation of their User Account, an automatic withdrawal of any existing Commissions will take place upon acceptance of the cancellation. Partners who request the termination of their User Accounts shall lose any right to receive further Commissions, including the scenario where HME would maintain their Content available on the Platform.

HME reserves the right, at its sole discretion, to approve or deny cancellation requests in cases of suspected fraud, non-compliance with these Terms and Conditions, or unresolved payment disputes.

17. Responsibility. Disclaimer. Limitation of liability

HME shall make reasonable efforts to ensure the continuous availability of the Platform and the quality and accuracy of the Content, Products and Services. Although HME attempts to provide accurate Content on its Platform, it makes no guarantee or warranty, express or implied, as to the reliability, accuracy, timeliness, or completeness of that Content and assumes no responsibility for any errors or omissions therein.

Users and Partners acknowledge and agree that, as a content platform, HME is not responsible for the temporary unavailability of the Platform or the Content, or the lack of accuracy or quality of the Content, Products and Services, and/or the opinions shared by the Users or Partners in the Forum. Users may report any inaccuracy or inappropriate behavior to HME through the contact form. HME shall not be liable for any indirect, incidental, special, or consequential damages that result from the use of, or the inability to use, the Platform or any Content or Products and Services.

The Platform and/or the Website may contain links and banners directing the Users to third-party websites. While inserting these links, HME makes its best efforts to ensure that the linked websites and resources do not contain any unlawful information. However, HME shall not be held responsible for any content included in such links or banners. If any User believes that a link or banner leads to a dangerous or unlawful third-party website, they may report it to HME.

HME makes no express or implied representations or warranties regarding the suitability, reliability, availability, security or accuracy of the Platform, the Website, the Products and Services, the Intellectual Property, Trademarks or any other Content. To the fullest extend permitted by the law, the Platform and all the Content, Products and Services are provided "as is" without any warranty or condition of any kind. HME hereby disclaims all warranties and conditions of any kind, whether express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement with respect to the Platform, the Website, the Content and the Products and Services.

Users and Partners acknowledge and agree that, as healthcare professionals, they assume all risks associated with their User Accounts and/or the purchase or use of any Product or Service. Users understand and agree that HME would not grant them access to the Platform or the Content unless they agreed to the express allocation of risks contained in these terms and conditions, including without limitation the disclaimer of warranties, limitations on liability, and the User's obligation to indemnify HME as described herein.

In the unlikely event that HME could be found liable, regardless of the nature of such liability, HME\'s total aggregate liability shall be capped at the amount paid by the User within the immediate six (6) months prior to the event giving rise to HME's liability.

18. Indemnity

Users and Partners agree to defend, indemnify, and hold harmless HME and its officers, directors, employees, agents, successors, and assigns from and against all losses, damages, liabilities, deficiencies, actions, judgments, interests, awards, penalties, fines, costs, or expenses of any kind, arising out of or resulting from their actions or omissions, including, but not limited to, any negligence or misconduct, misrepresentation, inaccuracy, breach of their representations and warranties, failure to fulfill their obligations, or any other breach of this Agreement, as well as any failure to comply with applicable laws and regulations. HME shall have the right, but not the obligation, to satisfy such indemnity---either in whole or in part---by offsetting any Commission pending payment to any User or Partner. Users and Partners acknowledge and agree that monetary damages may not be an adequate remedy, and that HME shall be entitled to seek injunctive or other equitable relief as a remedy.

19. Intellectual Property Rights

Unless otherwise outlined in these T&C, HME retains all intellectual property and/or license rights, including copyright protection, for all content, brands, database content, and all other constituent parts of the Platform, except for the Content, Product and Services created, uploaded, shared or offered by Partners with respect to which HME does not claim ownership but retains control over their use, distribution, display, and permanence on the Website in accordance with these T&C.

The Platform and the Website, along with all software applications, database structures, text, information, analyses, images, photographs, charts, logos, sounds, brands, and all other data comprising the Platform and the Website, shall remain the exclusive property of HME or, where applicable, its respective owners, with whom HME has entered into a licensing agreement.

Users are expressly prohibited by HME from reproducing and/or representing (except for private use), downloading, selling, distributing, disseminating, translating, adapting, using, publishing, or communicating HME Intellectual Property and any or all of the original intellectual works, data, Content, Products or Services available on the Platform or the Website, for any commercial or non-commercial purpose, in any form, without prior written consent from HME. This includes, but is not limited to, using the content in any way that could infringe upon HME's intellectual property rights or the rights of third parties.

Unauthorized use of HME's Platform, Website or Intellectual Property may result in civil and criminal liability. Requests for written authorization may be submitted through the contact form

20. Personal data

Users\' personal data are collected and processed by HME in compliance with its Privacy Policy, which is an integral part of these Terms and Conditions.

21. General Provisions

Communications

All communications and exchanges between HME and the Users or Partners shall be conducted via email. Users and Partners acknowledge and accept that all communications sent to the email address provided during registration of a User Account and/or used to contact HME shall be considered valid.

Language

Users acknowledge and accept that these T&C, as well as the Platform and the Website, may be available in different languages to facilitate understanding. In the event of any dispute or need for interpretation regarding the meaning of any terms included in these T&C or the Platform, Website or any Content, Product or Service, the English version shall prevail.

Entire agreement & binding force

These T&C, along with HME's Privacy Policy and Cookies Policy, shall govern the relationship between HME and the Users and Partners. All these legal documents shall be binding between the parties.

Occasionally, certain Content, Products and Services, Subscription Plans or other features available through the Platform, may have their own specific terms and conditions that will complement these T&C.

In case of contradiction between these T&C and any specific terms and conditions, the specific terms and conditions shall prevail.

Amendment of the T&C

HME reserves the right to modify these T&C at any time without prior notice, especially to account for legal, jurisprudential, and/or technical developments. Therefore, all amendments will become effective upon publication and will apply to all Users and Partners, unless otherwise specified.

It is the Users' responsibility to regularly review the T&C for any updates. Continued use of the Website by a User after being informed of modifications to the T&C (including, but not limited to, notifications or updates published on the Platform or the Website) shall constitute the User\'s acceptance of such modifications. If a User does not agree with the updated T&C, they must cease using the Website immediately.

Severability

If any term or provision of these T&C is invalid, illegal or unenforceable in any jurisdiction, such invalidity, illegality or unenforceability shall apply to the term or provision only to the extent of that invalidity or unenforceability, and shall not affect any other term or provision of these T&C.

Law and jurisdiction

These T&C, the Privacy Policy, the Cookies Policy, and any other agreements or policies that may complement them, shall be governed by the laws of Spain.

In the event of any dispute relating to these T&C, the Privacy Policy, the Cookies Policy, and any other agreements or policies that may complement them, the User and HME shall first attempt to reach an amicable solution through negotiation. If no agreement is reached within a period of no less than thirty (30) days, either party may initiate legal proceedings. The courts of Madrid City shall have exclusive jurisdiction over any legal disputes arising between the parties.
